Welcome to the Membership Agreement

1. Membership Booking Rules & Expectations

2026 Memberships one photographer and one photographer only (The photographer signing this document)

Bookings scheduled with membership time are intended for the member, not to include extra photographers/videographers.

Members cannot bring additional photographers/videographers into the studio to shoot, but may bring an assistant and up to 3 models, not to exceed 5 people at one time. Exceptions may be made on a case by case basis with written approval.

The member cannot sublet the space, hold workshops, classes, shoot outs exceeding more than 5 people, or any other type of event in the studio without explicit written approval.

2. Payments

Membership payments will be billed automatically using the stored payment method of your choice (via Acuity Scheduling). Payments will process once a month, recurring on the date that the member initially signs up.

Missing a Studio Membership payment will result in automatic termination of membership. At this point, member will need to re-register to continue membership.

Missing payment will result in loss of any and all remaining accrued time.

3. Rental Terms

“Company” is New Wave Media, LLC

“Premises” is approximately 1400 sqft of space located on the 2nd floor of the Water Avenue Commerce Center in Suite 265.

“Member” is the person enrolling in the membership program.

Studio Memberships are as follows:

  • Bronze Membership ($240.00) = 240 minutes

  • Silver Membership ($400.00) = 420 minutes 

  • Gold Membership ($500.00) = 540 minutes

  • Platinum Membership ($700) = 720 minutes

Members can not host shootouts, workshops, or any other events. These are explicitly reserved for New Wave Media, LLC. Members with approval may rent the studio at a discounted rate for a workshop or event.

Members are freelance photographers (NOT employees, contractors, or partners of New Wave Media, LLC) that are renting the studio space and must acquire insurance within 30 days of becoming a member. Until such insurance is acquired or provided, a “Waiver of Liability” must be signed and will be kept on file.

4. Scheduling

All scheduling must be done online through the New Wave Media website using the membership code provided via your initiation email.

You may only schedule studio time with your membership code within the amount of time you have remaining. For example, if you have 4 hours remaining for the month, you can not book a session longer than 4 hours. A regular session must be scheduled instead.

For members, studio will allow 15 minutes for early arrival, and 15 minutes for clean up after your session as long as there are not back to back bookings that this would interfere.

Additional time beyond session time and 15 minutes before/after will be deducted from your allotted hours.

5. Length of Agreement

Studio Membership agreement is a month to month commitment/agreement. Membership must be canceled in writing 30 days prior to ending or will continue once the initial commitment is complete.

Cancellations or Changes of Reserved Time

Cancellation of confirmed bookings will result in the following charges:

5 Days or More: No Penalty

3-4 Days: A reservation cancelled 3 to 4 days prior to the booking date and time will have 50% of booked time deducted from your allotment of time.

2 Days or Less: Cancellations made 48 hours or less prior to a confirmed shoot will forfeit 100% of time allotment used to book.

New Wave Media, LLC is not liable for missed studio time for any reason beyond its control. This includes building issues, equipment failures, power outages, weather, acts of God, or emergencies. In such cases, New Wave Media, LLC will refund a prorated portion of member’s time allotment.

Membership Cancellation:

Membership must be renewed within 30 days of expiring and can be terminated by the studio for not adhering to studio rules/guidelines

If member wishes to cancel membership at the end of term, studio requires a one month advance notice in writing (hello@newwavepdx.com), with “Membership Cancellation” in the subject line.

If New Wave Media, LLC wishes to cancel a member’s membership, a notice will be given unless termination is immediate due to rule violations or safety reasons.

6. Studio Rules

  • 6.1.Members may arrive no earlier than 15 minutes prior to their scheduled time (if there are no back to back bookings), and will have 15 minutes to clean up after their scheduled end time (if there are no back to back bookings), unless previous arrangements have been cleared with the studio.

  • 6.2.Members should not cut paper backdrops, or alter equipment or props in any way outside of normal use of these items. If you need assistance, please ask. Please keep shoes off of backdrops and cyclorama wall as much as possible. Only models/clients should have shoes on the backdrops/cyclorama wall. If you need to help your model on the backdrop or Cyc wall, please clean shoes.

  • 6.3.Members are responsible for everyone in the client’s party and must ensure everyone adheres to all studio rules. Children must always be supervised by an adult.

  • 6.4.No one is permitted in the office area unless prior approval was given.

  • 6.5.Please no jumping or roughhousing on the backdrops or the cyclorama wall.

  • 6.6.Due to minimal storage space in the studio, members are not able to store equipment or props at the studio without prior approval.

  • 6.7.Members cannot bring additional photographers or videographers to the studio unless it has been cleared with the studio prior to your session.

  • 6.8.Please do not slide furniture across the floors. It is fine to move furniture, but not sliding it can cause the floor to be scratched. The floor is really nice, help us keep it nice!

  • 6.9.No New Wave Studio owned equipment is permitted to leave the studio without prior permission from the studio.

  • 6.10.Unused hours do carry over to the following month up to equal or lesser value of your current membership.

  • 6.11.Members are not permitted to attend workshops or classes at the studio unless they have registered and paid for the event. Membership does not include workshops/classes/events. Members do get a 25% discounted rate for such workshops/events/classes

  • 6.12.All COVID-19 Restrictions will apply, according to state or city policies.

  • 6.13.Members CAN NOT share their door code, nor prop open the front entrance door for any reason.

  • 6.14.Please no glitter, body lotions, or other items or substances that will leave marks or stains on paper backdrops, furniture, floors, or the cyclorama wall.

  • 6.15.Music is encouraged! But please keep it to a reasonable volume, out of respect for the other businesses in the building.

  • 6.16.Any groups over 5 people must be approved by the studio prior to your booking.

  • 6.17.Furry friends are allowed and encouraged, but please be courteous and use common sense. Any damage caused by an animal in the studio will be the member’s responsibility.

  • 6.18.If the fire alarm is activated, everyone is required to evacuate until re-entry is permitted.

  • 6.19. Shooting is allowed inside of the studio areas only. Other locations on the premises may be available, but require prior authorization.

  • 6.20. Do not move, unplug, or alter any refrigerators, computers, laptops, or other non-prop items within the studio.

  • 6.21.No alcohol, illicit drugs, or intoxicated persons are allowed in the building.

  • 6.22.Unplug all lighting and secure cords appropriately when you are finished using them.

  • 6.23.Remove any trash you generate. We have trash bags available in the cabinet in the dressing room.

  • 6.24.Please leave the studio in the same condition you found it (or better!). Ensure the windows are closed, doors are locked, and lights are off if you are at a session that is not attended by the studio staff.

  • 6.25.Please report any unusual occurrence, issues, and damage or errors on equipment. If we don’t know it’s broken, we can’t fix it.

7. Waiver of Liability

The use of Company's premises and equipment is at the Member's own risk. By agreeing to use the Premises, the Member acknowledges that Company will not be held liable for any direct, indirect, incidental, or consequential damage, injury, or loss to the Member, their party, or possessions while on the Premises. The Member agrees to hold harmless and indemnify Company and its owners, agents, representatives, associates, officers, employees, guests, and tenants against any suit, claim, loss, accident, judgment, fine, injury, or damages, including reasonable attorney's fees. This agreement to indemnify shall remain in full force and effect during and after the term of the rental for any causes that arise during the rental period. All members must complete and sign a waiver of liability form.

8. Conduct

At New Wave Studio, we strive to maintain a welcoming and professional environment. Members are responsible for the behavior and well-being of all individuals accompanying them while on company premises.

By agreeing to these terms, members understand that a company representative may be present at any time, at the sole discretion of the company. If the representative witnesses or becomes aware of any dangerous, pornographic, illegal, or negligent practices or activities, they reserve the right to halt the shoot and require the member and their guests to leave immediately. In such cases, no refund will be given for unused time. Please note that while the company and its representatives will make every effort to intervene in such situations, they assume no responsibility to do so.

9.Harassment Policy

At New Wave Studio, we are committed to providing a safe, respectful, and professional environment for all our clients and staff. We have a zero-tolerance policy towards any form of harassment, including but not limited to verbal abuse, physical intimidation, inappropriate comments or gestures, and any other behavior that creates a hostile environment.

Zero Tolerance: Any form of harassment towards our staff, models, clients, or any individuals on our premises will not be tolerated under any circumstances.

Immediate Action: If any form of harassment is reported or observed, the individual responsible will be immediately banned, blocked, and removed from our premises and services.

No Refund: Any individual who is removed for harassment will not be eligible for a refund of any fees paid for our services, including deposits, session fees, and product purchases.

Legal Action: Depending on the severity of the harassment, we reserve the right to pursue legal action to ensure the safety and well-being of our community.

By booking and engaging in our services, you agree to comply with this policy and understand the consequences of any breach.

10. Model/Client Age

The Member is responsible for ensuring that all subjects of photographs are of legal age. The Company is not obligated to determine or verify the age of individuals participating in the Member's activities. However, the Company reserves the right to request proof of parental consent if models or photographic subjects are under 18. The Company also retains the right to terminate these activities if it becomes aware of any violations of legal age requirements. The Company cannot be held liable for any invalid forms of identification or other methods of age verification.

11. Insurance

Before renting, businesses, corporations, production companies, and other legal entities may need to provide a certificate of general liability insurance that names New Wave Media, LLC as additionally insured on the rental dates. If this is required, the renter's liability insurance will be considered primary and non-contributory in the case of any claims or lawsuits. The liability insurance must be Commercial General Liability with a minimum coverage of $1,000,000 per occurrence and annually.

12. Equipment

The Company agrees to provide equipment that is in good working condition. However, the Company does not provide any special guarantees regarding the functionality or suitability of the equipment for the Renter's purposes. If there are any malfunctions, damages, or other issues with the equipment, the Renter shall notify the Company immediately. Please note that there is no studio phone line available, so the Renter is advised to bring a cell phone.

13. Assistance

Our team will guide the photographer through the studio to explain the location of the equipment and provide an overview of the space. If you have any questions about a specific piece of equipment, please feel free to ask us if we are on-site. Otherwise, you can call, text, or email the studio for guidance on proper use.

14. Damage

The member will be held responsible for any damage that occurs to the Company's property or equipment during their occupancy of the Premises. Damage deposits will be retained until repairs can be made or the item can be replaced. Member also agrees that if they do not have any insurance they will be responsible for any and all costs until repaired or replaced.

15. Misc.

The Renter must comply with all federal, state, county, city, or other local laws, regulations, and ordinances, and all rules and regulations of any governmental authority, in connection with this Agreement.

This Agreement includes the entire understanding and agreement between the Company and the Renter. Any changes to this Agreement must be in writing and signed by both parties. Waiving a breach or default hereunder shall not be considered a waiver of a subsequent breach or default of either the same provision or any other provision of this Agreement.

The laws of the State of Oregon shall govern this Agreement. The following signatures make this Agreement a legal and binding contract between the Renter and the Company.
